1. About ArenaPulse

ArenaPulse is a cloud-hosted software platform that allows users to create, configure, and control sports scoreboards and public display signage on a variety of display devices, including web browsers, televisions, projectors, kiosk screens, and DIY RGB LED matrix panels. The platform provides scoreboard software, digital signage playlist management, a media library, firmware, display layouts, and supporting build documentation.

The sports scoreboard feature lets you run live timers and scores for sporting events. The public display feature lets you create image playlists — such as menus, schedules, and sponsor slides — for screens in public areas such as lobbies, concession stands, changing rooms, and kiosks.

ArenaPulse is operated as a software-as-a-service (SaaS) product. Any hardware you acquire, build, or connect to the platform is entirely outside the scope of ArenaPulse's responsibility.

2. Your Responsibility for Legal and Proper Use

You are solely and fully responsible for using ArenaPulse in a lawful manner and in compliance with all applicable laws and regulations in your jurisdiction, including but not limited to:

• Electrical safety regulations and building codes applicable to any hardware you construct or install.
• Broadcasting, public display, and venue licensing rules where you operate scoreboards or signage displays.
• Advertising standards, consumer protection rules, and any local regulations governing the content of public-facing digital signage in your jurisdiction.
• Data protection and privacy laws affecting any personal data you process through the platform.
• Intellectual property laws governing logos, graphics, images, and sponsor materials you upload to the media library or any other part of the platform.
• Any permits, approvals, or authorisations required to install or operate display equipment in your venue or in publicly accessible areas.
• Any food labelling, allergen disclosure, or pricing transparency requirements that may apply to menus or product information you display using the public display feature.

You may not use ArenaPulse to store, transmit, or display content that is unlawful, defamatory, harassing, obscene, misleading, or infringing of third-party rights. This applies equally to scoreboard content and to images, playlists, and other material used in public displays. ArenaPulse reserves the right to suspend or terminate accounts found to be in violation of these requirements without prior notice.

3. DIY Hardware — Your Sole Responsibility

ArenaPulse provides firmware, wiring guides, hardware recommendations, and build documentation as a courtesy to users who wish to construct their own LED scoreboard hardware. This documentation is provided for informational purposes only. ArenaPulse makes no warranty that such guidance is complete, correct, current, or suitable for your specific hardware, components, venue, or skill level.

You acknowledge and agree that:

• All hardware you build, purchase, or install is entirely your responsibility. ArenaPulse has no involvement in and no liability for the design, construction, installation, operation, or maintenance of any physical equipment.
• Working with mains electricity, high-current DC power supplies, and structural mounting carries inherent risks including electric shock, fire, and physical injury. You must ensure that all electrical work is carried out safely, by a qualified person where required by law.
• ArenaPulse is not liable for any personal injury, death, property damage, fire, electrical fault, equipment failure, or any other loss or harm — whether direct, indirect, incidental, or consequential — arising from or related to hardware you build, modify, or operate, regardless of whether you followed ArenaPulse documentation.
• Component recommendations are illustrative only. Suitability, availability, and safety compliance of specific parts are your responsibility to verify.

4. Service Availability and System Failures

ArenaPulse is provided on an "as is" and "as available" basis. We do not guarantee continuous, uninterrupted, or error-free access to the service.

You acknowledge and agree that:

• The service may be unavailable at any time due to scheduled maintenance, unplanned outages, infrastructure failures, third-party service disruptions, or events beyond our control.
• ArenaPulse is not liable for any loss, damage, cost, or inconvenience — including missed matches, event disruptions, reputational harm, lost revenue, sponsor obligations, failed signage display, or any other direct or indirect consequence — arising from service downtime, latency, errors, or incorrect output.
• Real-time scoreboard updates and playlist transitions on public displays depend on network connectivity, third-party infrastructure (including cloud hosting providers), and device compatibility. ArenaPulse does not guarantee delivery speed, transition timing, or reliability of real-time updates.
• Bugs, defects, or unexpected behaviour in the software may occur. ArenaPulse is not liable for incorrect scores, timer errors, playlist failures, images not displaying, or any other software malfunction during live events, business hours, or at any other time.

5. Data Loss

You are responsible for maintaining your own copies of any data, configuration, layouts, graphics, media library images, playlists, or other content you store in or upload to ArenaPulse.

You acknowledge and agree that:

• ArenaPulse does not guarantee the preservation, integrity, or availability of any user data. Data may be lost due to system failures, database errors, accidental deletion, infrastructure incidents, or other causes.
• ArenaPulse is not liable for any loss of data, loss of access to data, or consequences of data loss, regardless of the cause and regardless of whether ArenaPulse was advised of the possibility of such loss.
• While we endeavour to maintain reasonable backup practices, we make no guarantee that backups exist, are current, or can be restored in any particular timeframe.

6. Disclaimer of Warranties

To the fullest extent permitted by applicable law, ArenaPulse and its operators, employees, and contractors expressly disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the service will meet your requirements or expectations.
• Any warranty regarding the accuracy, reliability, timeliness, or completeness of the service or any content, documentation, or firmware provided through it.

No advice or information, whether oral or written, obtained by you from ArenaPulse shall create any warranty not expressly stated in these terms.

7. Limitation of Liability

To the fullest extent permitted by applicable law, ArenaPulse and its operators shall not be liable to you or any third party for any:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunity.
• Personal injury or property damage of any kind arising out of or related to your access to or use of — or inability to access or use — the service or any hardware connected to it.

In jurisdictions that do not allow the exclusion or limitation of certain damages, ArenaPulse's liability is limited to the maximum extent permitted by law. In no event shall ArenaPulse's total aggregate liability to you for all claims exceed the total amount you have paid to ArenaPulse in the twelve months immediately preceding the event giving rise to the claim, or €50, whichever is greater.

8. Accounts and Access

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify ArenaPulse immediately at info@arenapulse.io if you suspect unauthorised access to your account.
• ArenaPulse reserves the right to suspend or delete accounts at any time, including for inactivity, non-payment, violation of these terms, or at our sole discretion.

9. Subscriptions and Payments

Paid features require an active subscription. Subscription fees are billed in advance and are non-refundable except where required by applicable law. Failure to pay will result in downgrade to the free tier or account suspension. Prices may change with reasonable notice.

10. Intellectual Property

ArenaPulse software, layouts, documentation, and branding are the intellectual property of ArenaPulse and its licensors. You may not copy, distribute, reverse-engineer, or create derivative works from any part of the platform without express written permission.

You retain ownership of content you upload, including logos, graphics, images in the media library, and custom layouts. By uploading content, you grant ArenaPulse a limited licence to store and display that content solely for the purpose of operating the service on your behalf. You warrant that you hold all necessary rights and permissions for any content you upload, including images used in public display playlists.

11. Privacy

Your use of ArenaPulse is also governed by our Privacy Policy, which describes how we collect, use, and store your personal data. By using the service, you consent to data handling as described in the Privacy Policy.

12. Changes to These Terms

ArenaPulse may update these terms at any time. Material changes will be communicated by email or by a notice in the application. Continued use of the service after changes take effect constitutes acceptance of the revised terms. It is your responsibility to review these terms periodically.

13. Governing Law and Disputes

These terms shall be governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of the operator's registered place of business.
